By using the website, you agree to be bound by these terms and conditions and our privacy policy. In these terms and conditions, the words “website” refers to the Suprize website, “we”, “us”, “our” and “Suprize” refers to Suprize and “you” and “user” refers to you, the Suprize user.

The following terms and conditions apply to the website and services offered by Suprize. This includes any version of Suprize accessible via desktop, mobile, tablet, social media or other devices.

READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OR OBTAINING ANY INFORMATION OR SERVICE FROM SUPRIZE.

1. ACCEPTANCE OF TERMS

This agreement sets forth legally binding terms for your use of Suprize. By using the website and services, you agree to be bound by this agreement. If you do not agree to the terms of this agreement, you must not use the website and services. We may modify this agreement from time to time, and such modification shall be effective upon posting on the website. You agree to be bound by any modifications to these terms and conditions when you use the website and the services offered on the website after such modification is posted on the website; therefore, it is important that you review this agreement regularly.

The website and competitions are for people over 18 years of age and residents of the UK. Please do not purchase tickets if you are under 18 or do not reside in the UK. Suprize does not knowingly collect information from persons under the age of 18.  

Suprize may, in its sole discretion, refuse to offer the services to any user and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the service and the website is revoked in such jurisdictions. 

By using the website and participating in the competitions, you represent and warrant that you have the full right, power and authority to enter into this agreement and to fully perform all of your obligations hereunder. You further represent and warrant that you are under no legal disability or contractual restriction that prevents you from entering into this agreement.

2. NOTIFICATIONS AND NEWSLETTER

By providing Suprize with your e-mail address, you agree that we may use your e-mail address to send you important notifications and communications about our services, news and special content. If you do not wish to receive these e-mails, you may opt-out of receiving them by sending us your request through our contact information or by using the “unsubscribe” option in the e-mails themselves. This option may prevent you from receiving emails about our services, important news and special content.

3. ACCOUNT 

To participate in the competitions, users must register and open an account on the website. Only UK residents are allowed to register. When registering on the website, the user must choose a password and may be asked for additional information, such as email address and telephone number. You are responsible for maintaining the confidentiality of your password and account information, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify Suprize of any unauthorised use of your password or account or any other breach of security, and (b) ensure that you log out of your account at the end of each session. You may never use another user’s account. Suprize will not be liable for any breach of this agreement.

Users may cancel their accounts at any time and for any reason through the account settings or by sending us their request through our contact information. Such cancellation will result in the deletion of the account.

Suprize reserves the right to immediately terminate your account/ access if Suprize believes that any of these terms and conditions have been violated.

4. REQUIREMENTS FOR PARTICIPATION IN COMPETITIONS

To enter the competitions organised by Suprize, users must register on the website, be resident in the UK and be at least 18 years of age on the start date of the competition. 

Specific Exclusions:

a. Company Employees: Participation by direct or indirect employees of Suprize, regardless of rank, department or function, is expressly prohibited.

b. Relationships with the Company: Persons who have any family, professional or business relationship with Suprize that, in the sole opinion of the Company, may compromise the fairness, equity and transparency of the competition are not eligible to participate.

5. COMPETITIONS

The competitions will only be available to UK residents.

Users may participate in the competitions offered on the website by purchasing a ticket or multiple tickets for the competition of their choice.

Suprize may arrange and organise multiple competitions simultaneously, and each of these competitions will have a specific prize, clearly detailed in the description of the competition on the website.

The availability of tickets for each competition is subject to Suprize’s decision and will be explicitly announced on the website.

The price of each ticket may vary depending on the competition and will be clearly specified next to the information of each competition on the Website.

Each user is allowed to enter up to a maximum of 250 times in each specific competition. This restriction is intended to ensure fairness and transparency in each competition.

The closure of each competition will be determined at the moment the last number associated with that competition is drawn. Thereafter, no further entries will be accepted for that competition.

Each competition will have a specific date for the draw and selection of the winner, which will take place during a live broadcast on Facebook. The exact date and time of the draw will be communicated to participants in advance, ensuring that all interested parties can log in and witness the process.

It is the responsibility of each user to ensure that he/she understands and accepts the terms and conditions of each competition in which he/she chooses to participate. In addition, the entrant must ensure that he/she provides truthful and accurate information at the time of registration and/or ticket purchase.

Suprize reserves the right to change any aspect of the competitions, including, but not limited to, start and closing dates, prizes, and ticket prices, provided that adequate notice is given through the website.

6. PURCHASE OF TICKETS

This clause regulates the purchase of tickets to participate in competitions organised by Suprize. Each ticket entitles you to participate in a prize draw associated with each competition.

Before purchasing any ticket, the user must correctly answer a verification question. 

Once the question has been answered, the user can select a specific number for their ticket or, if preferred, opt for the “Lucky Dip”, which will randomly assign ticket numbers. Please note that in most competitions the ticket numbers will be randomly assigned according to the number of tickets purchased by the user and the option to select a specific number will not be available.

The user has the option to purchase multiple tickets in a single transaction. Please note that in most competitions the ticket numbers will be randomly assigned according to the number of tickets purchased by the user and the option to select the specific number will not be available.

Once the user has completed the purchase, the user will receive an email to the email address provided during the registration process. This email will contain:

  • Details of the competition in which you are participating.
  • Ticket number(s) purchased.
  • Date and time of the draw.
  • Any additional information relevant to the competition and the draw.

It is the responsibility of the user to ensure that they provide a valid and active email address. Suprize will not be responsible for non-receipt of mail due to incorrect addresses or technical problems beyond its control.

Tickets purchased are unique, personal and non-transferable. They may not be sold, assigned or transferred under any circumstances without the explicit written consent of Suprize.

Each ticket will be valid only for the competition and draw for which it was purchased. Once the draw is over, the ticket will lose all validity and cannot be used for future competitions.

Suprize reserves the right to modify, postpone or cancel competitions and draws. In case of cancellation, the amount of the tickets purchased for that specific competition will be refunded.

7. PAYMENTS

Tickets will be paid for by the following payment methods:

  • Credit/debit card (Visa, Mastercard, Discover, Amex, Diners, etc.). 
  • PayPal

The user must pay the stipulated ticket price for each competition. Ticket prices may vary according to the competition. Payment will be charged to the customer’s credit/debit card or PayPal account immediately after the purchase of the selected ticket(s). Once the transaction has been processed, we will send an electronic receipt to the user’s email address. This email will contain the ticket(s) information and the corresponding competition.

If you find any inconsistencies in your billing, please contact us via our contact details or you can make a complaint via the customer service of the relevant payment processor.

If your card is declined, you will receive an error message. No payment will be charged to your card and the purchase of the ticket(s) will not be processed. There may be a pending transaction on your account until your card issuing bank withdraws the authorisation. This usually takes 2 to 5 working days. Your card may be declined for a number of reasons, such as insufficient funds, AVS (Address Verification System) mismatch or you have entered an incorrect security code.

If your payment is declined, you will need to provide an alternative payment method or provide another card on which the payment can be charged and processed.

Your payment details will be treated securely and for the sole purpose of processing your ticket purchase. Suprize reserves the right to contract any payment platform available on the market.

8. FREE TICKETS

Users have the right to participate in 1 competition free of charge, provided that they comply with the conditions stipulated herein.

To enter the competition free of charge, the user must comply with the following conditions:

Send a postcard to Suprize, by first  or second class post, to the following address: 

  • Suprize Ltd, 124 City Road, London, EC1V 2NX.

Enclose on the postcard the required information including:

  • Full name.
  • Residence address.
  • Contact telephone number.
  • E-mail address.
  • Name or identification of the competition in which you wish to participate.

Incomplete or illegible entries will be automatically disqualified.

Each entrant may submit only one postcard per competition. Multiple entries on a single postcard will not be accepted.

By submitting the entry, the user confirms that he/she meets all the requirements stipulated to take part in the competition and that he/she agrees to the conditions set out in this clause.

Suprize aims to process all free entries within one working day, prior to the date of the draw. It is your responsibility to ensure that your postal entry reaches Suprize before this period. Any entries received after this deadline will not be considered for the draw.

Suprize will not send confirmation of receipt of postal entries.

In the event that paid tickets reach a pre-set limit prior to receipt of a free entry, that entry will not be considered for the drawing.

In order for a free entry to be processed, the user must have previously created an account on the Suprize website. The information provided on the postcard must exactly match the information registered on the account. If no associated account is found or the information does not match, the entry will not be processed. It is imperative that entrants add a valid address to their account for proper processing of their entry.

Each postcard will be considered as a single ticket to the competition.

9. WINNER’S CHOICE

All participants who have purchased one or more tickets for a specific competition will be automatically entered into the relevant draw. The number of tickets purchased by each participant proportionally increases their chances of being the winner, as each ticket represents an independent chance of winning.

Winner Selection:

  1. The winner selection process will be conducted in a public and transparent manner via a live broadcast on the Facebook platform. Such broadcast will usually take place every Monday and Thursday (unless otherwise specified on the website that week),  at a time that will be previously announced on the website and on the company’s official channels.
  2. The selection of the winning ticket will be made using Google’s number generator, thus ensuring an unbiased and verifiable process for all viewers in real time.

In certain competitions, Suprize will award additional prizes to randomly selected tickets. The specific numbers of these tickets will be announced in advance and will correspond to specific prizes. This mode of awarding will run in parallel to the main prize and is intended to encourage and reward active participation in the competitions.

All winners, whether of the main prize or an instant win prize, will be notified via email within no more than two days of the draw taking place. This email will confirm your status as a winner and provide you with details of the prize you have won, and details of how the winner will receive said prize.

10. PRIZES

Detailed information and prize specifications for each competition are described on the website in the relevant section for each competition.

The following provisions apply to the availability and substitution of prizes: 

  1. Prizes offered are subject to availability and may be limited in quantity or duration.
  2. Suprize reserves the right, at any time and for any reason, to substitute the advertised prize for another prize of equal or greater value, always seeking to preserve the interest and expectation of the participants.
  3. In the event that any relevant modification is made regarding the prize, the company will update the information on the website as soon as circumstances permit.

Suprize makes no representation or warranty as to the features, value, condition, functionality or any other aspect of the prizes. Further, Suprize does not warrant that all information provided on the website is completely accurate, complete or fully up to date.

In circumstances where the prize offered is a vehicle:

  1. The company aims to ensure a valid Vehicle Technical Inspection (MOT) for the vehicle.
  2. Vehicle insurance is not included as part of the prize and must be arranged by the winner.
  3. Once the prize has been delivered to the winner, Suprize disclaims any liability in relation to the vehicle.
  4. Road tax is not included and it will be the responsibility of the winner to arrange this.

It is possible that certain prizes may be supplied by third party entities or individuals. In such cases, the identification and contact details of such third parties will be specified on the Website for the knowledge of entrants.

Suprize may substitute (at owners own discretion) the original prize with a cash prize in the following situations:

  1. Unavailability of the prize.
  2. Unforeseen circumstances beyond the reasonable control of the company.

The following restrictions will apply to the prizes:

  1. Prizes may not be exchanged for goods or services other than those specified.
  2. Prizes are non-transferable, which means that only the registered entrant can claim the prize upon winning.

11. CLAIMING PRIZES

Suprize will notify winners via the email address and mobile phone number listed in their user profile on our platform. It is imperative that users keep these details up to date to ensure effective communication.

In the event of no response or failure to communicate with the winner within 14 days of first notification, the winner will be redrawn. The new winner will then be contacted and again should get into contact with Suprize within 14 days of being notified.

When the Winner is notified by email from Suprize that they have won, it is their responsibility to respond. They must confirm that they have acknowledged this email, and provide their up to date contact details. To corroborate the identity of the winner, official documentation such as passport or driving licence may be required. The winner will be informed in due course of the procedure. No third parties are to be involved in this process.

It is the entrant’s responsibility to ensure that their personal and contact details are kept up to date. Any changes to the information must be communicated to the company immediately. Such notification must specify details of the competition in which you entered, previously registered details and the new updated information.

Prizes consisting of monetary amounts will be deposited directly into the winner’s nominated bank account. It is essential that the winner can prove that he/she is the holder or co-holder of the bank account provided. If this confirmation is not provided within 14 days of notification of winning, the prize will be deemed unclaimed. In such a case, Suprize may award the prize to the next eligible participant.

Suprize assumes no liability and is not obliged to provide compensation in cases where the winner, for reasons of his/her own, is unable or chooses not to accept the prize.

If the prize awarded is a vehicle, and once the winner has passed all relevant eligibility checks, ownership of the vehicle will be transferred to the winner using the V5 vehicle document. This document must be completed and signed by both parties prior to delivery of the vehicle.

Suprize will endeavour to meet the stated prize delivery deadlines, but will not be responsible for delays caused by circumstances beyond its control, including, but not limited to, strikes, natural disasters, or logistical problems.

Prizes must be withdrawn no later than 90 days after notification. If the prize is not claimed within this period, it will be deemed forfeited and may be used in future promotions.

12. LIMITATION OF LIABILITY

In no event shall Suprize, its affiliates, directors, employees, agents, or suppliers be liable for any direct, special, punitive, incidental, indirect or consequential damages, or any damages whatsoever, even if advised of the possibility of such damages, whether in an action under contract, negligence or other theory arising out of or in connection with the use of or inability to use the website, the competitions, the purchase of tickets, or the outcome of the draws and selection of winners.

Suprize shall not be responsible for connectivity issues, technical failures, interruptions, disruptions or interference during Facebook Live broadcasts or any consequences thereof on the selection of winners or the public perception of the sweepstakes.

The competitions are not sponsored, endorsed, administered by, or associated with Facebook. By participating, users release Facebook from any and all liability related to the competitions and draws. Any questions, comments or complaints about the competitions should be directed to Suprize and not to Facebook.

Suprize has no control over and therefore assumes no responsibility or liability for the actions, content, information or data of third parties, including, but not limited to, prize providers or associated services.

Suprize shall not be liable for human, technical or any other errors that may arise in processing entries, selecting winners, awarding prizes or in any other process related to the competitions.

13. COPYRIGHT

All materials on Suprize, including, without limitation, names, logos, trademarks, images, text, columns, graphics, videos, photographs, illustrations, software and other elements are protected by copyrights, trademarks and/or other intellectual property rights owned and controlled by Suprize or by third parties that have licensed or otherwise provided their material to the website. You acknowledge and agree that all materials on Suprize are made available for limited, non-commercial, personal use only. Except as specifically provided herein. No material may be copied, reproduced, republished, sold, downloaded, posted, transmitted, or distributed in any way, or otherwise used for any purpose, by any person or entity, without Suprize prior express written permission. You may not add, delete, distort, or otherwise modify the material. Any unauthorised attempt to modify any material, to defeat or circumvent any security features, or to utilise Suprize or any part of the material for any purpose other than its intended purposes is strictly prohibited.

14. COPYRIGHT INFRINGEMENT

Suprize will respond to all enquiries, complaints and claims relating to alleged infringement by breach or violation of the provisions contained in UK and international copyright and intellectual property laws and regulations. Suprize respects the intellectual property of others and expects users to do the same. If you believe, in good faith, that any material provided on the Suprize website infringes your copyright or other intellectual property rights, please submit your request via our contact information, with the following information:  

  • Identification of the intellectual property right that is allegedly infringed. All relevant registration numbers or a statement regarding ownership of the work should be included.
  • A statement that specifically identifies the location of the infringing material, in sufficient detail so that Suprize can find it on the website.  
  • Your name, address, telephone number and email address.
  • A statement by you that you have a good faith belief that the use of the allegedly infringing material is not authorised by the copyright owner, or its agents, or by law.
  • A statement by you, made under penalty of perjury, that the information in your notification is accurate, and that you are the copyright owner or authorised to act on its behalf.
  • An electronic or physical signature of the copyright owner or of the person authorised to act on the copyright owner’s behalf.

15. PERSONAL DATA

Any personal information you submit in connection with the services and use of the website will be used in accordance with our privacy policy. By using the services, you agree that we may collect and store your personal information. Please see our privacy policy.

16. PROHIBITED ACTIVITIES

The content and information available on the website (including, but not limited to, data, information, text, music, sound, photos, graphics, video, maps, icons or other material), as well as the infrastructure used to provide such Content and information, is proprietary to Suprize or licensed to the Suprize by third parties. For all content other than your content, you agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software or services obtained from or through the website. In addition, the following activities are prohibited:

  • Access, monitor, reproduce, distribute, transmit, broadcast, display, sell, license, copy or otherwise exploit any content of the services, including but not limited to, using any robot, spider, scraper or other automated means or any manual process for any purpose not in accordance with this agreement or without our express written permission.
  • Violate the restrictions in any robot exclusion headers on the services or bypass or circumvent other measures employed to prevent or limit access to the services.
  • Take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure.
  • Deep-link to any portion of the services for any purpose without our express written permission.
  • “Frame”, “mirror” or otherwise incorporate any part of the website into any other websites or service without our prior written authorisation.
  • Attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by Suprize in connection with the services.
  • Circumvent, disable or otherwise interfere with security-related features of the website or features that prevent or restrict use or copying of any content.
  • Download any content unless it’s expressly made available for download by Suprize.

17. DISCLAIMER OF WARRANTIES 

Because of the nature of the Internet Suprize provides and maintains the website on an “as is”, “as available” basis and makes no promise that use of the website will be uninterrupted or entirely error free. We are not responsible to you if we are unable to provide our Internet services for any reason beyond our control.

Our website may from time to time contain links to other websites which are not under the control of and are not maintained by us. These links are provided for your convenience only and we are not responsible for the content of those sites.

Except as provided above we can give no other warranties, conditions or other terms, express or implied, statutory or otherwise and all such terms are hereby excluded to the maximum extent permitted by law.

You will be responsible for any breach of these terms by you and if you use the website in breach of these terms you will be liable to and will reimburse Suprize for any loss or damage caused as a result.

Suprize shall not be liable in any amount for any failure to perform any obligation under this agreement if such failure is caused by the occurrence of any unforeseen event beyond its reasonable control, including, without limitation, Internet outages, communications outages, fire, flood, war or any uncontrollable act of nature.

These terms do not affect your statutory rights as a consumer which are available to you.

Subject as aforesaid, to the maximum extent permitted by law, Suprize excludes liability for any loss or damage of any kind howsoever arising, including without limitation any direct, indirect or consequential loss whether or not such arises out of any problem you notify to Suprize and Suprize shall have no liability to pay any money by way of compensation, including without limitation all liability in relation to:

  • Any incorrect or inaccurate information on the website.
  • The infringement by any person of any Intellectual Property Rights of any third party caused by their use of the website or service purchased through the website.
  • Any loss or damage resulting from your use or the inability to use the website or resulting from unauthorised access to, or alteration of your transmissions or data in circumstances which are beyond our control.
  • Any loss of profit, wasted expenditure, corruption or destruction of data or any other loss which does not directly result from something we have done wrong.
  • Any amount or kind of loss or damage due to viruses or other malicious software that may infect a user’s computer equipment, software, data or other property caused by persons accessing or using content from the website or from transmissions via emails or attachments received from Suprize.
  • All representations, warranties, conditions and other terms which but for this notice would have effect.

18. ELECTRONIC COMMUNICATIONS

Suprize will accept no liability for failed, partial or garbled computer transmissions, for any breakdown, failure, connection, availability of computer, telephone, cable, network, electronic or Internet hardware or software, for the acts or omissions of any user or third party, for the accessibility or availability of the Internet or for traffic congestion or unauthorised human action, including errors or mistakes. 

19. INDEMNIFICATION

You agree to defend and indemnify Suprize from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:

  • Your breach of this agreement or the documents referenced herein.
  • Your violation of any law or the rights of a third party.
  • Your use of the services.

20. CHANGES AND TERMINATION

We may modify the website and these terms at any time, at our sole discretion and without notice. You are responsible for keeping yourself informed of these terms. Your continued use of the website constitutes your acceptance of any changes to these terms and any changes will supersede all previous versions of the terms. Unless otherwise specified, all changes to these terms apply to all users and customers. In addition, we may terminate our agreement with you under these terms at any time by notifying you in writing (including by email) or without notice.

21. NO PARTNERSHIP

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Suprize as a result of these terms or your use of the services.

22. INTEGRATION CLAUSE

This agreement together with the privacy policy and any other legal notices published by Suprize, shall constitute the entire agreement between you and Suprize concerning and governs your use of the website and the services.

23. DISPUTES

The user agrees that any dispute, claim or controversy arising out of or relating to these terms and conditions, or the breach, termination, enforcement, interpretation or validity thereof or the use of the services, shall be resolved by binding arbitration between the user and Suprize, provided that each party retains the right to bring an individual action in a court of competent jurisdiction.

In the event of a dispute arising in connection with the use of the services or the breach of these conditions, the parties agree to submit their dispute to arbitration resolution before a reputable arbitration organisation as mutually agreed by the parties and in accordance with applicable commercial arbitration rules.

To the fullest extent permitted by law, you agree that you will not file, join or participate in any class action lawsuit in connection with any claim, dispute or controversy that may arise in connection with your use of the website and services.

The courts of the United Kingdom shall have jurisdiction over any dispute, controversy or claim relating to Suprize and its business operations. Any such dispute or controversy shall be brought and resolved in the courts of the United Kingdom. 

24. FINAL PROVISIONS

These terms and conditions are governed by the laws of the United Kingdom. Use of the website and services are not authorised in any jurisdiction that does not give effect to all of the provisions of these terms.

Our performance of these terms is subject to existing laws and legal process, and nothing contained in these terms limits our right to comply with law enforcement or other governmental or legal requests or requirements relating to your use of our website or information provided to or gathered by us with respect to such use.

If any part of these terms is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will not in any way be affected or impaired. Our failure or delay in enforcing any provision of these terms at any time does not waive our right to enforce the same or any other provision(s) hereof in the future.

Any rights not expressly granted herein are reserved.
